1. Acceptance and Modification
1.1 Acceptance of Terms
By using Phone2, Inc.'s ("Phone2," "We," "Us," or "Our") telecommunications services (the "Services") and the Phone2 mobile application (the "App"), you ("You," "Your," or "User") agree to be bound by this Terms of Service agreement (the "Agreement"). This Agreement governs Your use of the App and Services, which are provided by Phone2.
1.2 Modification of Terms
Phone2 reserves the right to modify this Agreement at any time. We will notify You of changes by publishing the revised Agreement on the Phone2 website. The revised Agreement will become effective 30 days after publication, unless You expressly accept the changes earlier. Your continued use of the Services after the 30-day notice period constitutes Your acceptance of the revised Agreement. 1.3 Eligibility
You must be at least 13 years old to use the Services, including registering for an account. By registering, You represent and warrant that You are 13 or older and have the capacity to understand, agree to, and comply with this Agreement. Phone2 may delete Your account and terminate Your access to the Services without warning if We believe You are under 13 years of age.
2. Fair Usage Policy
2.1 General Guidelines
Phone2 is committed to providing a safe and reliable communication experience. To ensure fair and lawful use of our Services, we prohibit certain activities and reserve the right to impose usage limits, charge additional fees, or terminate access at our sole discretion. Capitalized terms are defined in the Phone2 Terms of Service.
2.2 Usage Monitoring
We may restrict your usage (e.g., messages sent, call minutes, devices used) if it violates normal, fair, or reasonable standards or this Policy. Where possible, we will notify you of excessive usage and provide an opportunity to adjust.
2.3 Prohibited Activities
You agree not to use Phone2 Services to send or promote:
- Content that is obscene, defamatory, threatening, harassing, hateful, exploitative, or incites illegal/violent acts.
- Fraudulent messages (e.g., scams, phishing, impersonation) or requests for sensitive personal data (medical, financial, etc.).
- Unsolicited cold calls/messages without consent or clear opt-out mechanisms.
- Personally Identifiable Information (PII) such as Social Security numbers or financial account numbers.
- Malware, viruses, or harmful software.
- Cannabis, CBD, vape products, kratom, or prescription medication promotions.
- Gambling, casinos, betting, adult/sexual content, or alcohol/tobacco-related offers.
- Firearms, explosives, fireworks, or hate speech/discriminatory content.
- High-risk financial services (payday loans, cryptocurrency schemes, stock speculation).
- Third-party lead generation, debt collection, or "get rich quick" schemes (pyramid/MLM programs).
2.4 Consequences of Violation
Violations may result in usage restrictions, additional charges, or termination of Services. Repeated breaches may lead to permanent account suspension.
3. Refund Policy
3.1 30-Day Refund Window
You may request a refund within 30 days of purchase, provided:
- You did not use a free trial before purchasing.
- The refund request is not due to a refusal to complete TCR registration.
3.2 Non-Refundable Fees
The following fees are non-refundable:
- TCR Fees ($24.98): These fees cover SMS carrier registration costs required for 10DLC phone numbers in the USA. They are imposed by carriers and The Campaign Registry, and Phone2 has no control over these fees.
- Toll-Free Verified Sender Fees ($15): These fees are carrier-imposed for toll-free SMS registration and are passed through without markup. Phone2 has no control over these fees.
3.3 Limitations on Refunds
While Phone2 makes every effort to support and enable two-factor authentication (2FA) codes, the following limitations apply:
- Refunds will not be issued for refusal to receive 2FA codes from third-party services such as WhatsApp, Telegram, Viber, or other over-the-top (OTT) messaging platforms.
- Phone2 is not responsible for the changing security protocols or limitations of non-PSTN services, including OTT messengers.
3.4 Number Porting and Fees
The following terms apply to number porting:
- Non-Refundable Port-In Fees: Port-in fees are non-refundable once your phone number has been successfully transferred to Phone2.
- Number Retention: Per FCC guidelines, Phone2 reserves the right to retain your phone number until your account is in good standing (e.g., no outstanding balances or disputes).
- Dispute Handling: In the event of a billing or account dispute, a $25 negative balance will be applied to your account. This balance must be resolved to $0 before your number can be released for porting. If you initiate a payment dispute or chargeback through any channel (e.g., bank, credit card issuer, or payment provider) without first contacting Phone2 support at [email protected] to resolve the issue, we reserve the right to temporarily suspend your account, workspace, and all associated phone numbers, and place a mandatory hold on any number port-out requests until the dispute is fully resolved. This policy protects against fraud and ensures fair dispute handling.
3.5 Consequences of Subscription Payment Disputes
If you initiate a dispute over a subscription payment without first contacting Phone2 support to resolve the issue, the following rules apply depending on the dispute outcome:
If the Dispute is Decided in Phone2's Favor:
- Phone2 will promptly remove any account restrictions or suspensions related to the dispute.
- Your access to phone numbers, workspaces, data, and services will be fully restored.
- You may continue using all services under your current plan without penalty.
If the Dispute is Decided in Your Favor:
- Your account will be permanently blocked.
- You will lose access and control over all associated phone numbers, workspaces, and account content.
- All data associated with your account will be permanently deleted without the possibility of recovery.
- Port-out of any phone numbers will be permanently blocked.
- The email address associated with your workspace, as well as any affiliated email addresses, will be marked as restricted and permanently banned from accessing Phone2 services.
- No further services will be provided to your account or affiliated users.
Important Note: Customers are strongly encouraged to contact Phone2 support at [email protected] before initiating any dispute. We are committed to resolving issues fairly and efficiently. Filing a dispute without prior communication may result in permanent service restrictions, regardless of the dispute outcome.
3.6 Completion of Service and Acceptance of Terms
If your phone number(s) have been successfully ported out and services have been fully rendered as per your plan:
- It will be deemed that you have received and used the product as agreed, including all included features.
- You waive any further claims, complaints, or disputes against Phone2 relating to those services.
4. Emergency Services and Limitations
4.1 No Emergency Calls
The App and Services are not a replacement for traditional telephone services and do not support emergency calls to hospitals, law enforcement, medical care units, or any emergency services. You must ensure that You or anyone using Your Device has alternative arrangements for making emergency calls.
4.2 No Operator or Directory Services
The Services do not support calls to operator or directory enquiry services. Phone2 is not liable for any inability to make such calls.
5. User Responsibilities
5.1 Account Security
You are responsible for maintaining the confidentiality of Your account credentials, including Your password. You agree to notify Phone2 immediately of any unauthorized use of Your account or any other security breach.
5.2 Accurate Information
You represent and warrant that all information You provide to Phone2 is truthful, accurate, and up to date. Phone2 may suspend or terminate Your account if We suspect any information is false, misleading, or incomplete.
5.3 Prohibited Content
You agree not to use the Services to transmit, post, or share any content that is harmful, obscene, defamatory, harassing, or violates any third-party rights, including intellectual property rights.
6. Third-Party Services
6.1 Third-Party Services
The Services may include links to or integrations with third-party services (e.g., advertising partners, Wi-Fi providers). These services are independent of Phone2, and Phone2 is not responsible for their content, availability, or privacy practices.
6.2 Third-Party Terms
Your use of third-party services is subject to their respective terms and conditions. Phone2 is not liable for any issues arising from Your use of third-party services.
7. Liability and Disclaimers
7.1 No Warranties
The Services and App are provided "AS IS" without warranties of any kind, including but not limited to quality, performance, or fitness for a particular purpose. Phone2 does not guarantee that the Services will be uninterrupted, secure, or error-free.
7.2 Limitation of Liability
To the maximum extent permitted by law, Phone2, its affiliates, and its service providers shall not be liable for any direct, indirect, incidental, or consequential damages arising from Your use of the Services or App.
7.3 Indemnification
You agree to indemnify and hold Phone2 harmless from any claims, liabilities, or costs arising from Your violation of this Agreement or Your use of the Services.
8. Termination
8.1 Termination by You
You may terminate this Agreement at any time by ceasing use of the Services and uninstalling the App.
8.2 Termination by Phone2
Phone2 may terminate this Agreement and Your access to the Services at any time for reasons including but not limited to:
- Violation of this Agreement.
- Fraudulent, abusive, or illegal activities, including attempted circumvention of payment obligations or misuse of number porting procedures.
- Violations of applicable state (e.g., California, Nevada) or federal (U.S.) telecom regulations.
- Inactivity for more than one year.
8.3 Effect of Termination
Upon termination, all licenses and rights to use the Services and App will immediately cease. You must remove the App from Your Devices and delete all copies. Accounts suspected of fraudulent or abusive activities may be permanently blocked, with all associated data and phone numbers deleted and port-out requests prohibited.
9. General Provisions
9.1 Governing Law
This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. International users are also subject to Delaware law.
9.2 Entire Agreement
This Agreement, together with the Privacy Policy, constitutes the entire agreement between You and Phone2 and supersedes all prior agreements.
9.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
